Terms of Service & Merchant Agreement
Effective Date: August 18, 2026 • Ever Trust Trade
This Merchant Agreement (“Agreement”) is entered into between Ever Trust Trade and the merchant entity or individual creating a shop account on the Ever Trust Trade platform.
1. Acceptance of Terms & Shop Accounts
By registering for an account, accessing dokan.app, using any tenant subdomain ({slug}.dokan.app), or installing the Ever Trust Trade Progressive Web App (PWA), you agree to be bound by these Terms. If you are registering on behalf of a business, you represent that you have authority to bind that entity.
2. Subscription Lifecycle, Billing & Grace Periods
- Free Starter Plan: The Starter tier is provided free of charge with catalog and user limitations as specified in the Pricing schedule.
- Standard & Enterprise Plans: Paid subscriptions are billed on a recurring monthly or yearly cycle. Payments can be settled via bKash, mobile banking, major cards, or authorized direct bank wire.
- Subscription Grace Period & Suspension: If an invoice remains unpaid upon cycle renewal, the tenant enters a 7-day grace period where POS billing remains functional. After that, unpaid accounts enter a read-only suspended state until renewed.
3. Offline Usage & Idempotency Safeguards
Ever Trust Trade provides an offline-tolerant POS client to maintain retail continuity during connectivity outages. Merchants acknowledge that while local sales are saved to browser storage, sync to central cloud servers requires periodic internet connectivity. Unique keys provide idempotency checks during reconnection; no system can promise zero defects without live verification.
4. Data Ownership & Security
The merchant retains exclusive ownership of all inventory catalogs, customer records, pricing tiers, and financial transactions. Ever Trust Trade provides built-in CSV export tools enabling complete data export at any time. We will never sell or monetize your transactional data.
5. Fair Usage & Prohibited Activities
Merchants agree not to use Ever Trust Trade to record or facilitate illegal transactions, conduct unauthorized network scanning, circumvent tenant isolation, or overload SMS gateway endpoints with unsolicited spam.
6. Service Level Availability (SLA) & Support
We strive to maintain a 99.9% uptime target for cloud routing and API services. Planned maintenance windows are communicated in advance. Support is delivered according to plan tier.
7. Governing Law & Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Bangladesh. Any dispute arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
