Terms of Service & Merchant Agreement

1. Acceptance of Terms & Shop Accounts

By registering for an account, accessing https://dokan.app, using any tenant subdomain ({slug}.dokan.app), or installing the Dokan Progressive Web App (PWA), you agree to be bound by these Terms. If you are registering on behalf of a business, you represent that you have authority to bind that entity.

2. Subscription Lifecycle, Billing & Grace Periods

• Free Starter Plan: The Starter tier is provided free of charge with catalog and user limitations as specified in the Pricing schedule.
• Standard & Enterprise Plans: Paid subscriptions are billed on a recurring monthly or yearly cycle. Payments can be settled via bKash, mobile banking, major cards, or authorized direct bank wire.
• Subscription Grace Period & Suspension: If an invoice remains unpaid upon cycle renewal, the tenant enters a 7-day grace period where all POS billing and store operations remain functional. Following the grace period, unpaid accounts enter a suspended state where read-only access (reports, inventory viewing) continues, but write mutations return an HTTP 402 Payment Required response until renewed.

3. Offline Usage & Idempotency Safeguards

Dokan provides an offline-tolerant POS client to maintain retail continuity during connectivity outages. Merchants acknowledge that while local sales are saved to browser storage (IndexedDB), sync to central cloud servers requires periodic internet connectivity. Dokan utilizes UUID idempotency keys to guarantee that no sale is processed more than once upon reconnection.

4. Data Ownership & Security

The merchant retains exclusive ownership of all inventory catalogs, customer records, pricing tiers, and financial transactions. Dokan provides built-in CSV export tools enabling complete data export at any time. We will never sell or monetize your transactional data.

5. Fair Usage & Prohibited Activities

Merchants agree not to use Dokan to record or facilitate illegal transactions, conduct unauthorized network scanning, circumvent PostgreSQL RLS tenant isolation, or overload SMS gateway endpoints with unsolicited spam.

6. Service Level Availability (SLA) & Support

We strive to maintain a 99.9% uptime target for cloud routing and API services. Planned maintenance windows are communicated in advance. Support is delivered according to plan tier (Community documentation for Starter, Priority WhatsApp/Email for Standard, and 24/7 dedicated account manager for Enterprise).

7. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of Bangladesh. Any dispute arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
